1 Agreement to Terms
By accessing or using the services provided by Clarkes.Team ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2 Services Provided
Clarkes.Team provides web technology services including but not limited to:
- Cloud architecture and infrastructure management
- Server administration and monitoring
- WordPress maintenance and support
- Technical consulting and advisory services
- On-demand technical support
3 Service Agreements
Specific services are governed by individual service agreements, statements of work, or subscription terms that supplement these general Terms of Service. In case of conflict, the specific service agreement takes precedence.
4 Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information
- Maintain the security of access credentials we provide
- Promptly notify us of any security concerns
- Maintain valid payment methods for subscription services
- Comply with our Acceptable Use Policy
- Ensure you have rights to any content or systems we work on
5 Payment Terms
5.1 Subscription Services
Subscription services are billed in advance on a monthly or annual basis. Subscriptions automatically renew unless cancelled before the renewal date.
5.2 Hourly Services
Pre-purchased hour packages are valid for the period specified at purchase. Hourly work is billed in 15-minute increments.
5.3 Refunds
Subscription services include a 30-day money-back guarantee for new customers. Pre-purchased hours are non-refundable but may be applied to other services.
6 Intellectual Property
You retain ownership of your content, code, and data. We retain ownership of our proprietary tools, methodologies, and pre-existing intellectual property. Work product created specifically for you becomes your property upon full payment.
7 Confidentiality
We maintain strict confidentiality regarding your systems, data, and business information. We will not disclose confidential information to third parties except as required by law or with your written consent.
8 Limitation of Liability
Our liability for any claim arising from our services is limited to the amount you paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
$1M Professional Liability Insurance
We maintain professional liability insurance to provide additional protection for our clients.
9 Service Level Commitments
Specific service levels, response times, and uptime guarantees are defined in individual service agreements. We make commercially reasonable efforts to meet or exceed stated service levels.
10 Termination
Either party may terminate services with 30 days written notice. We may suspend or terminate services immediately for violation of these terms, the Acceptable Use Policy, or non-payment.
Upon termination, we will provide reasonable assistance in transitioning services and returning your data.
11 Dispute Resolution
Disputes will be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association.
12 Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or through our website. Continued use of services after changes constitutes acceptance of the updated terms.
